Terms of Service

These Terms constitute a legally binding agreement between you (or the organization you represent) and AuditPulse, Inc. ("AuditPulse," "we," "us," or "our"). By creating an account, requesting a demo, or otherwise accessing our platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

You agree to use AuditPulse only for lawful purposes. You must not:

• Use the platform in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to any part of our systems or networks.
• Transmit any malicious code, viruses, or harmful data.
• Reproduce, sell, or resell any part of the platform without our express written permission.
• Use automated means (bots, scrapers) to access or collect data from the platform.

To access certain features you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@quantbridge.org if you suspect unauthorized use.

Paid plans are billed on a subscription basis (monthly or annually) as described on our Pricing page. All fees are non-refundable except as required by law or explicitly stated in a separate written agreement. We reserve the right to modify pricing with at least 30 days' notice to active subscribers.

All content, features, and functionality of the AuditPulse platform — including software, design, text, graphics, and logos — are the exclusive property of AuditPulse, Inc. and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

You retain ownership of all data you upload or submit to the platform ("Customer Data"). You grant AuditPulse a limited, non-exclusive license to process Customer Data solely to provide the services. We will not access, use, or disclose Customer Data except as described in our Privacy Policy or as required by law.

Each party agrees to keep confidential any non-public information received from the other party and to use such information only for the purpose of performing obligations under these Terms. This obligation survives termination of your account.

The AuditPulse platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free or uninterrupted.

To the maximum extent permitted by applicable law, AuditPulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total cumulative liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

We may suspend or terminate your access to the platform at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the platform ceases immediately. Sections 5, 8, 9, and 11 survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before taking effect. Your continued use of AuditPulse after the effective date constitutes acceptance of the revised Terms.
